In the context of a profound transformation of Morocco’s public economic architecture, the creation of the National Agency for the Strategic Management of State Holdings (ANGSPE) marks the transition from a “tutor-state” to a “shareholder-state” endowed with enhanced professional competencies. Nevertheless, the traditional model of state-owned enterprises (EEP) remains characterized by structural fragilities, notably a pronounced dependence on the state budget and fragmented management. This article seeks to address this gap by examining how the new paradigm embodied by ANGSPE responds to the tension between national sovereignty and economic efficiency. Adopting an analytical approach to contemporary governance mechanisms, the study draws upon four complementary theoretical frameworks: agency theory, transaction cost theory, property rights theory, and the New Public Management paradigm. The analysis is further enriched by financial data analysis from fiscal year 2023, focusing on the ten EEPs considered the “locomotives” of Morocco’s public portfolio. The findings indicate that the centralization of the shareholder function fosters “systemic compensation” within the portfolio, enabling the resilience of national champions to mitigate cyclical shocks. Performance instruments such as the adoption of IFRS standards, GUIDE labelling, and the institutional transformation into joint-stock companies act as signalling mechanisms, reducing information asymmetries and contributing to the significant improvement in overall net results (6.8 billion MAD). On a theoretical level, the article offers a processual reading of the transition towards the strategic holding model in Morocco, while highlighting the main challenges associated with digitalization by 2026. It also opens new avenues for research concerning the financial restructuring of systemic entities and the balance between profitability and the public service mission.
