1. IMPACT OF BOARD DIVERSITY POLICIES ON CORPORATE GOVERNANCE QUALITY: AN EMPIRICAL STUDY

The study examines board of directors' diversity policies in relation to the quality of corporate governance by integrating external and internal factors, using a hypothetical research methodology. Using an agency theory, resource dependence theory, and stakeholder theory as its conceptual framework, the study analyses board diversity as a stand-alone governance mechanism. The study uses a quantitative methodology based on empirical data, which are analysed through a measurement model and a structural model to support hypotheses. The results indicate that board diversity is positively related to perceived political diversity and the objective quality of governance, particularly with respect to control, oversight, and decision-making capacity, as well as to improvements in external transparency, organisational legitimacy, and respect for stakeholder expectations. These findings suggest that a diverse board of directors may represent a strategic governance mechanism.
