27. THE IMPACT OF DIGITALIZATION ON CORPORATE GOVERNANCE: THE CASE OF MOROCCAN COMPANIES
This research paper has researched and studied the tectonic changes that are taking place in Morocco's Corporate Governance (CG). As firms around the world transition to more digital-first models, this transition is in line with the national economy's alignment with worldwide technological trends. Moroccan firms are shifting from only updating technology to fundamentally re-engineering their internal CG processes and oversight framework. This fundamental change will create more institutional transparency and refine how boards of directors are held accountable, but the process of integrating these new technologies will still be complex. As a result, there is no guarantee that firms will be successful in reconciling and integrating the traditional CG style of management with the demands of a technologically-driven, high-tech, digital business environment. The focal point of this research is how firms' CG processes are being redefined by innovations in particular areas like blockchain, cloud computing, and data analytics. These innovations are not only the means by which firms process information; these innovations are also providing a new foundation for real-time auditing and automated reporting, thus making corporate data far more verifiable. An integral part of this study is to investigate the changing nature of how businesses interact with the ecosystem and the larger environment they inhabit. As companies increasingly use digital platforms, they are moving away from a structured process of fixed, formal communication to a much more fluid process of ongoing communications and engagement with their stakeholders (including regulators) through digital means. To properly reflect this transition, a dual methodology was used in this research. The qualitative phase of the research includes interviews with senior executives (including directors and C-level officers) to gain insight into the practical obstacles to completing a major transition to using digital tools for communication and engagement. Additionally, a quantitative survey of organizations listed on the CSE was conducted to provide more extensive, data-driven insights into how companies in Morocco are embracing the use of digital media. This academic paper is intended to compare and contrast findings from both phases of the research in order to examine the use of digital media by organizations and how organizations utilizing digital media have experienced significant improvements in governance. The objective is to provide an accurate representation of the current corporate environment in Morocco by examining data on the penetration of digital media into the operations of organizations throughout Morocco. In conclusion, the results of the study suggest that digitalization is a powerful driver for sustainable governance, however, digitalization also creates new institutional-related risks. This study stresses that the benefits of digital transparency can only be sustained through the implementation of extensive cybersecurity frameworks and well-defined data privacy policies. In addition, the human factor is also important to the overall process; therefore, closing the digital skills gap will be critical for any long-term plan to ensure success in the future. Ultimately, the paper provides a roadmap for Moroccan companies on how to use technology to build trust and achieve long-term resilience with their stakeholders, not simply for operational efficiency and thus become trusted organizations.
